• Lead Management: Organization and categorization of lead data through our platform
• Performance Tracking: Detailed analytics, conversion reporting, and ROI measurement
• Lead Verification: Confirmation of appointment bookings and qualified lead delivery
• Support Services: Email and chat support to assist with account management

1.2 Service Limitations

Our Services are provided on an "as-is" basis. We do not guarantee:

• Specific response rates or conversion numbers
• Lead quality or accuracy of customer contact information
• Appointment confirmations or job completions
• Uninterrupted platform access or 100% uptime

2Eligibility and Account Requirements

2.1 Who Can Use Our Services

By using SystemizedLeadz OS, you represent and warrant that:

• You are at least 18 years old and legally capable of entering into binding contracts
• You operate a legitimate HVAC, Plumbing, or Roofing business
• You have authority to agree to these Terms on behalf of your business
• All information provided is accurate, current, and complete
• You comply with all local, state, and federal regulations

2.2 Account Registration

You are responsible for:

• Maintaining the confidentiality of your account credentials
• Notifying us immediately of unauthorized account access
• All activities that occur under your account
• Providing accurate billing and contact information

3Lead Data and Usage

3.1 Your Lead Data

You retain all ownership rights to your lead data. You grant SystemizedLeadz OS a limited license to:

• Store and process your lead information for service delivery
• Use your data to send reactivation campaigns on your behalf
• Generate reports and analytics based on your campaign performance
• Perform necessary backups and security operations

3.2 Data Accuracy and Responsibility

You represent and warrant that:

• You have the legal right to share customer contact information with SystemizedLeadz OS
• All leads have a prior business relationship with your company
• You have obtained necessary consents for SMS/email marketing compliance
• Lead data is accurate and current to the best of your knowledge

3.3 Lead Data Retention and Deletion

SystemizedLeadz OS will retain your lead data:

• During the active service period and for 90 days after account termination
• For compliance records as required by law (typically 3-7 years)
• You may request data deletion at any time, subject to legal retention requirements

4Payment Terms and Billing

4.1 Pricing Structure

SystemizedLeadz OS operates on a performance-based pricing model:

• Setup Fees: One-time fee charged upon account initiation
• Monthly Fees: Recurring monthly subscription or service charges
• Pay-Per-Lead: Additional charges for verified leads and confirmed appointments
• All pricing is disclosed prior to service activation

4.2 Payment Terms

• Payment is due upon invoice issuance
• Invoices are issued monthly or upon service delivery
• We accept credit cards, ACH transfers, and check payments
• Late payments may result in service suspension
• All fees exclude applicable sales tax, which will be added to invoices

You must notify us of billing disputes within 30 days of invoice issuance. Disputes submitted after this period will not be considered.

5Lead Delivery and Performance Guarantees

5.1 Lead Definition

A "Qualified Lead" is defined as:

• A confirmed appointment booked with your business within 7 days of campaign
• Contact information that is valid and deliverable
• Response from an individual in your target service area

5.2 Performance Metrics

SystemizedLeadz OS provides:

• Real-time campaign analytics and reporting
• SMS delivery confirmation and response tracking
• Email open rates and click-through rates
• Appointment booking verification

5.3 No Performance Guarantee

We do not guarantee:

• Specific booking or conversion rates
• Minimum number of qualified leads
• Job completion or revenue generation
• Customer satisfaction or retention

6Compliance with Laws

6.1 TCPA Compliance

Both parties agree to comply with the Telephone Consumer Protection Act (TCPA):

• SystemizedLeadz OS will not contact individuals without prior express consent
• You represent that all leads have provided necessary opt-in consent
• All SMS messages include mandatory opt-out instructions
• Opt-out requests are honored within 24 hours

6.2 CAN-SPAM Compliance

Email campaigns comply with CAN-SPAM Act requirements:

• Accurate sender identification and subject lines
• Physical mailing address included in all emails
• One-click unsubscribe mechanism in marketing emails
• Opt-out requests honored within 10 business days

6.3 GDPR and International Data Protection

If applicable, both parties comply with General Data Protection Regulation (GDPR) and other international data protection laws. You are responsible for obtaining necessary international consent from European Union residents.

6.4 Your Compliance Responsibility

You are solely responsible for:

• Obtaining all necessary consents for marketing communications
• Complying with all local and federal telemarketing regulations
• Maintaining accurate do-not-call and do-not-contact lists
• Complying with industry-specific regulations in your jurisdiction

7Prohibited Activities

You agree not to:

• Use our Services for illegal purposes or to violate any applicable law
• Misrepresent your business identity or authority
• Share account credentials with unauthorized third parties
• Attempt to reverse-engineer, hack, or compromise our platform security
• Send unsolicited marketing to individuals without prior consent
• Violate intellectual property rights or data protection laws
• Engage in fraudulent activities or misrepresent lead sources
• Harass, threaten, or abuse customers contacted through our platform
• Share contact information obtained from our Services with competitors
• Exceed reasonable usage limits or attempt denial-of-service attacks

8Intellectual Property Rights

8.1 Our Intellectual Property

All content, design, functionality, and features of SystemizedLeadz OS platform are owned by SystemizedLeadz OS or licensed partners. You agree not to:

• Copy or reproduce platform content without permission
• Create derivative works based on our Services
• Use our branding or logos without authorization
• Claim ownership or right to our intellectual property

8.2 Your Content

You retain ownership of content you create and submit. By submitting content, you grant SystemizedLeadz OS license to use it for service delivery and analytics.

9Limitation of Liability

Our total liability to you for any claim shall not exceed the amount you paid to SystemizedLeadz in the 12 months preceding the claim.

10Disclaimer of Warranties

SYSTEMIZEDLEADZ OS PROVIDES SERVICES "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTY THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE
• WARRANTY THAT PLATFORM WILL BE SECURE OR FREE FROM MALWARE
• WARRANTY REGARDING LEAD QUALITY OR ACCURACY

11Indemnification

You agree to defend, indemnify, and hold harmless SystemizedLeadz from any claims, damages, or costs arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Claims by third parties regarding your use of lead data
• Allegations that your business practices are unlawful or violate consumer protection laws

12Termination

12.1 Termination by You

You may terminate your account at any time by providing written notice. Outstanding charges remain due and payable.

12.2 Termination by SystemizedLeadz OS

We may terminate or suspend your account immediately if:

• You violate these Terms
• You engage in prohibited activities
• You fail to pay invoices for 30 days
• Your conduct violates applicable law
• We determine your use creates risk to our platform or other users

12.3 Effect of Termination

Upon termination:

• Your account access is immediately revoked
• Outstanding invoices remain payable
• We retain data as required by law
• No refunds are issued for prepaid services

13Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United States and applicable state law, without regard to conflict of law principles. Any legal action or proceeding must be brought exclusively in the courts located in the United States of America, and you consent to personal jurisdiction in these courts.

14Dispute Resolution

14.1 Informal Resolution

Before initiating legal action, you agree to attempt informal resolution by contacting us at [email protected].

14.2 Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property violations or breach of confidentiality obligations.

15Modifications to Terms

SystemizedLeadz OS reserves the right to modify these Terms at any time. We will provide notice of material changes via email or platform notification. Continued use of our Services after such notice constitutes acceptance of modified Terms.

16Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SystemizedLeadz OS regarding the use of our Services and supersede all prior negotiations, representations, and agreements.
